Nanexa AB (publ) meddelar idag att bolaget \u00e4r i l\u00e5ngt g\u00e5ngna f\u00f6rhandlingar om att ing\u00e5 ett gemensamt utvecklingsavtal med det v\u00e4rldsledande materialteknikl\u00f6sningsf\u00f6retaget Applied Materials Inc. f\u00f6r att skala upp Nanexas produktion av ALD-belagda injicerbara l\u00e4kemedel.<\/strong><\/p>\n

Parallellt \u00e4r Nanexa ocks\u00e5 i l\u00e5ngt g\u00e5nga f\u00f6rhandlingar med Applied Ventures, riskkapitalgrenen av Applied Materials, om att ing\u00e5 ett investeringsavtal. Genom en riktad nyemission avser Applied Ventures att investera 1 miljon USD i Nanexa under fj\u00e4rde kvartalet 2020 med en option att investera ytterligare upp till 2 miljoner USD under 2021 f\u00f6r att st\u00f6dja fortsatt utveckling och expansion.<\/strong><\/p>\n

Nanexa har \u00e4nnu inte ing\u00e5tt juridiskt bindande avtal med Applied Materials eller Applied Ventures. Nanexa f\u00f6rv\u00e4ntar sig att slutf\u00f6ra avtalen inom de kommande veckorna och kommer att ge mer information n\u00e4r respektive avtal \u00e4r slutf\u00f6rda.<\/strong><\/p>\n

Genom att ing\u00e5 ett gemensamt utvecklingsavtal med Applied Materials, en v\u00e4rldsledande leverant\u00f6r av materialteknikl\u00f6sningar, avser Nanexa att s\u00e4kerst\u00e4lla l\u00e4kemedelsframst\u00e4llning f\u00f6r st\u00f6rre kliniska pr\u00f6vningar f\u00f6r att validera, anpassa och skala upp Nanexas produktion av ALD-belagda injicerbara l\u00e4kemedel. Enligt det f\u00f6reslagna avtalet kommer Applied Materials att tillhandah\u00e5lla och t\u00e4cka kostnaderna f\u00f6r den utrustning som kommer att installeras i Nanexas GMP-klassificerade lokaler i Uppsala. Det f\u00f6reslagna samarbetsavtalet inkluderar ocks\u00e5 framtida kommersiella arrangemang, inklusive \u00f6msesidiga kostnads- och int\u00e4ktsdelningsprinciper och licenser.<\/p>\n

Enligt det avsedda investeringsavtalet kommer Applied Ventures att investera upp till 3 miljoner USD i Nanexa under 2020\u20132021. 1 miljon USD ska investeras under fj\u00e4rde kvartalet 2020 med en option att investera ytterligare 2 miljoner USD i tv\u00e5 trancher under 2021. Enligt det f\u00f6reslagna avtalet \u00e5tar sig Nanexa att emittera nya aktier och teckningsoptioner i en riktad emission till Applied Ventures, med st\u00f6d av bemyndigandet fr\u00e5n \u00e5rsst\u00e4mman den 2 juni 2020.<\/p>\n

Anledningen till tillk\u00e4nnagivandet av dessa f\u00f6rhandlingar f\u00f6re slutf\u00f6rande \u00e4r ett dataintr\u00e5ng hos Nanexa som har rapporterats till ber\u00f6rda myndigheter. E-postkontot till en medlem av Nanexas ledningsgrupp hackades och informationen ovan kan inte l\u00e4ngre betraktas som konfidentiell.
